Token Sale Agreement

This Token Sale Agreement (“Agreement”) is entered into between Gemini Presale and you, the purchaser (“Participant”). By submitting a purchase in the GEMI presale, you accept this Agreement and agree to be bound by the Terms of Service, Privacy Policy, and Risk Disclosure.

GEMI is a utility token being offered in a three-stage presale. The price per token increases at each stage. The presale has a hard cap of $10,000,000 USD. Purchases are denominated in USD and settled in Bitcoin (BTC). A minimum purchase of $500 USD applies.

To purchase GEMI, you must register an account, accept this Agreement, and send the exact BTC amount shown to the designated wallet address. You must then submit your Bitcoin transaction hash (TXID) through the dashboard. Your purchase will remain pending until an administrator verifies the transaction on-chain and marks it as confirmed.

Your token allocation is calculated based on the USD amount sent divided by the current stage price, plus any applicable Stellar Score bonus and milestone airdrop. Bonuses are computed server-side at the time of purchase and are not negotiable. All allocations are subject to final confirmation.

All presale purchases are final. Once BTC is sent and confirmed, no refunds, returns, or cancellations will be provided. If a transaction is rejected due to insufficient payment, incorrect TXID, or fraud, the BTC may be returned at our sole discretion, minus applicable network fees.

GEMI tokens are not offered or sold to residents outside the United States or to persons in jurisdictions where token sales are prohibited. You may not purchase tokens on behalf of a sanctioned individual or entity. We reserve the right to reject any purchase that violates these restrictions.

We may require you to complete identity verification before confirming large purchases or distributions. Failure to provide accurate KYC information may result in rejection of your purchase or forfeiture of your allocation.

Tokens will be distributed to the ERC-20 wallet address you provide in your dashboard after the presale closes and the Token Generation Event occurs. You are solely responsible for ensuring the accuracy of your wallet address. Tokens sent to an incorrect address cannot be recovered.

You represent that you are purchasing GEMI for your own account, not for resale, that you understand the risks of cryptocurrency investments, and that you have read and understood the Risk Disclosure. You are not relying on any representation or warranty not expressly stated in this Agreement.

We may amend this Agreement before your purchase is confirmed. The version in effect at the time you submit your purchase will apply to that purchase. Continued participation after amendments constitutes acceptance of the revised terms.
